Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of all products and services operated by XEROTECH LTD (“we”, “us”, “our”), including CallGPT 6X, Xeroland, VisionXI, TechFinds Auto Publisher, and our websites at xerotech.io and callgpt.co.uk (collectively, the “Services”).

By creating an account, connecting a third-party platform, or using any of our Services, you agree to these Terms. If you do not agree, do not use our Services.

To use our Services, you must meet the applicable age requirements:

By using our Services, you represent and warrant that you meet the applicable requirements. You must provide accurate, complete and current information when creating an account.

3. Account Registration and Security

3.1 Account Creation

Some Services require you to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

3.2 Account Security

Notify us immediately at support@xerotech.io if you suspect unauthorised access to your account. We are not liable for any loss arising from unauthorised use of your account where you have failed to maintain the security of your credentials.

3.3 Third-Party Account Connections

Certain Services allow you to connect third-party accounts (such as TikTok and Google Drive). By connecting a third-party account, you authorise us to access and interact with that account within the scope of permissions you grant. You are responsible for ensuring you have the right to connect those accounts and authorise the actions our Services perform.

4. Service Descriptions

4.1 CallGPT 6X

An AI-powered productivity workspace providing access to multiple AI models (OpenAI, Anthropic, Google, xAI, DeepSeek, Moonshot) through a single interface, with browser-side privacy filtering, real-time cost tracking, editable artifacts and smart model routing.

4.2 Xeroland

An educational technology platform providing AI-powered tools for SEND (Special Educational Needs and Disabilities) compliance, adaptive mentoring and personalised learning, deployed through educational institutions.

4.3 VisionXI

An AI-powered visual assistance tool providing image recognition, description and accessibility features.

4.4 TechFinds Auto Publisher

An automation tool that enables you to publish video content from your Google Drive to your TikTok account via TikTok’s Content Posting API. See Section 13 for specific terms governing this service.

5. Subscription Plans and Pricing

5.1 Pricing

Some Services are offered on a subscription basis. Current pricing is displayed on the relevant product pages. Prices are in US Dollars unless otherwise stated. VAT or other applicable taxes may be added where required by law.

5.2 Free Trials

Where offered, free trials allow you to evaluate a paid Service before committing. Your payment method will be validated but not charged until the trial ends. You may cancel at any time during the trial without charge.

5.3 Billing

• Subscriptions are billed in advance on a monthly or annual basis
• Payment is processed securely through Stripe
• Prices may change with 30 days’ notice

6. Cancellation and Refunds

6.1 Cancellation

You may cancel your subscription at any time through the relevant product dashboard or by emailing support@xerotech.io. Upon cancellation, you retain access until the end of your current billing period. No further charges will be made.

6.2 Refund Policy

If you are unsatisfied with your first paid subscription, you may request a full refund within 14 days of your first payment. To request a refund, email support@xerotech.io from your registered email address.

Refunds are not available after 14 days from first payment, for subsequent billing periods, or if your account has been terminated for violations of these Terms. We do not provide prorated refunds for unused portions of a subscription period.

7. Acceptable Use

7.1 Permitted Use

You may use our Services for lawful personal and business purposes in accordance with these Terms.

7.2 Prohibited Use

You agree not to use our Services to:

Illegal and harmful content

• Generate, store or distribute illegal content
• Create child sexual abuse material (CSAM) or any content exploiting minors
• Generate content promoting violence, terrorism or self-harm
• Create malware, viruses or malicious code
• Generate phishing content or fraudulent materials
• Facilitate or promote illegal activities

Abuse and harassment

• Harass, threaten or abuse others
• Generate defamatory or discriminatory content
• Impersonate others without authorisation
• Stalk or invade others’ privacy

System abuse

• Attempt to bypass usage limits or security measures
• Interfere with the operation of our Services
• Use automated systems to access our Services without permission
• Reverse engineer or attempt to extract source code

Intellectual property

• Infringe copyrights, trademarks or other intellectual property
• Generate content that violates third-party rights

7.3 Enforcement

We reserve the right to remove content that violates these Terms, suspend or terminate accounts for violations, report illegal activity to appropriate authorities, and cooperate with law enforcement investigations.

8. AI-Generated Content

8.1 Nature of AI Output

Our Services use artificial intelligence models provided by third parties to generate responses and content. You acknowledge that:

• AI outputs are generated by machine learning models and may contain errors, inaccuracies or inappropriate content
• Outputs are not verified, endorsed or guaranteed to be accurate, complete, current or suitable for any purpose
• AI may produce unexpected results including incorrect information presented confidently
• You are responsible for reviewing and verifying all AI-generated content before use

8.2 No Professional Advice

AI-generated content does not constitute legal advice, medical or health advice, financial or investment advice, or professional advice of any kind. Always consult qualified professionals for important decisions.

8.3 No Intellectual Property Warranty

We do not warrant that AI-generated content is free from intellectual property claims, does not infringe third-party rights, or is original. You use AI-generated content at your own risk.

9. Your Content

9.1 Ownership

You retain ownership of content you submit to our Services (“Your Content”), including prompts, uploaded files, videos and any original materials.

9.2 Licence to Us

By using our Services, you grant us a limited licence to process, store and transmit Your Content solely to provide the Services. For TechFinds Auto Publisher, this includes transmitting your video content to TikTok via their Content Posting API. This licence terminates when you delete Your Content or your account.

9.3 AI Training

We do not use Your Content to train our own AI models. Third-party AI providers may have their own data usage policies. We use API configurations that request data not be used for training where such options are available.

10. Intellectual Property

10.1 Our Rights

Our Services, including all design, features, code, branding, patents and proprietary technology (including our browser-side PII filtering system), are owned by XEROTECH LTD and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Services as permitted.

10.2 Feedback

If you provide feedback or suggestions about our Services, we may use them without obligation to you.

11. Third-Party Services

Our Services integrate with third-party platforms and providers including:

• AI providers (OpenAI, Anthropic, Google, xAI, DeepSeek, Moonshot, ElevenLabs)
• Payment processing (Stripe)
• Social media platforms (TikTok)
• Cloud storage (Google Drive)
• Hosting and infrastructure providers

Your use of these third-party services may be subject to their respective terms and policies. We are not responsible for the availability, accuracy or practices of third-party services. If a third-party platform changes its API, terms or availability, certain features of our Services may be affected without prior notice from us.

12. Service Availability

12.1 No Guarantee

We strive to maintain high availability but do not guarantee uninterrupted access. Our Services may be unavailable due to scheduled maintenance, unplanned outages, third-party API disruptions (including TikTok and Google), or factors beyond our control.

12.2 Modifications

We may modify, suspend or discontinue features with reasonable notice where practicable. We will endeavour to provide 30 days’ notice for significant changes that affect paid subscribers.

13. TechFinds Auto Publisher — Additional Terms

13.1 TikTok Platform Compliance

By using TechFinds Auto Publisher, you agree to comply with:

• TikTok’s Terms of Service
• TikTok’s Community Guidelines
• TikTok’s Developer Terms of Service
• All applicable laws and regulations in your jurisdiction

We are not responsible for actions taken by TikTok against your account as a result of content you publish, including content removal, account suspension or account termination.

13.2 Content Responsibility

You are solely responsible for all content published to TikTok through TechFinds Auto Publisher. You represent and warrant that:

• You own or have the necessary rights and licences for all video content you upload
• Your content does not infringe any third-party intellectual property rights, including music, images and video footage
• Your content complies with TikTok’s Community Guidelines and applicable laws
• You have obtained all necessary consents from individuals appearing in your videos
• Your content does not contain misleading, deceptive or fraudulent material

13.3 Automation and Scheduling

• You configure the automation rules that determine when and how content is published
• We execute uploads based on your configuration but do not review, moderate or approve content before publication
• You are responsible for reviewing and testing your automation rules before activating them
• We do not guarantee successful delivery of uploads — TikTok may reject content that violates their policies, exceeds rate limits, or encounters technical issues
• Scheduled uploads may fail due to expired tokens, TikTok API outages, or other technical factors — we will notify you of failures but are not liable for missed publication windows

13.4 Google Drive Access

• You grant us permission to access the specific Google Drive folder(s) you designate
• We access only the files within those designated folders
• You are responsible for ensuring the correct files are placed in the designated folder
• We are not liable for publishing incorrect content due to files you have placed in the watched folder

13.5 Account Disconnection

You may disconnect your TikTok and/or Google Drive accounts at any time. Disconnection will immediately stop all automated publishing. Videos already submitted to TikTok’s upload pipeline at the time of disconnection may still be published. Content already live on TikTok will not be removed by disconnecting — you must manage published content directly through TikTok.

13.6 TikTok API Changes

TikTok may modify, restrict or discontinue their Content Posting API at any time. Such changes may temporarily or permanently affect TechFinds Auto Publisher functionality. We will make reasonable efforts to adapt to API changes but cannot guarantee uninterrupted service. We are not liable for loss of functionality caused by changes to TikTok’s platform or APIs.

14. Disclaimers

To the maximum extent permitted by law, our Services are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose and non-infringement.

Specifically:

• No educational guarantee: Xeroland is an educational tool, not a replacement for professional education or qualified teachers. We make no guarantees about educational outcomes.
• AI limitations: AI may produce errors, inaccuracies or inappropriate content. Users should verify important information independently.
• No publishing guarantee: We do not guarantee that content submitted through TechFinds Auto Publisher will be successfully published, remain available, or achieve any particular reach or engagement on TikTok.
• Third-party availability: We do not guarantee the continued availability or performance of any third-party services including TikTok, Google Drive, and AI providers.

15. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, special, consequential or punitive damages
• Our total liability is limited to the greater of: (a) the amount you paid us in the 12 months preceding the claim, or (b) £100
• We are not responsible for third-party actions, content or services
• We are not liable for service interruptions, data loss, or failed uploads
• We are not liable for any actions taken by TikTok, Google, or other third-party platforms against your account or content

15.1 Exceptions

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded by law.

15.2 Consumer Rights

If you are a consumer, you may have statutory rights that cannot be excluded. Nothing in these Terms affects those rights.

16. Indemnification

You agree to indemnify and hold harmless XEROTECH LTD and its officers, directors, employees and agents from any claims, damages, losses or expenses (including legal fees) arising from:

• Your use of our Services
• Your violation of these Terms
• Your violation of any third-party rights
• Content you publish through TechFinds Auto Publisher or any of our Services
• Your violation of TikTok’s Terms of Service or Community Guidelines
• Your Content

17. Termination

17.1 Termination by You

You may terminate your account at any time by contacting support@xerotech.io or using the self-service deletion option where available.

17.2 Termination by Us

We may suspend or terminate your account for violation of these Terms, for non-payment, if required by law, or at our discretion with 30 days’ notice.

17.3 Effect of Termination

Upon termination:

• Your right to use our Services ends immediately
• All third-party account connections (TikTok, Google Drive) will be disconnected
• All pending scheduled uploads will be cancelled
• We may delete your data, subject to legal retention requirements
• Provisions that should survive termination (including Sections 8, 9, 14, 15, 16 and 18) will remain in effect

18. Dispute Resolution

18.1 Informal Resolution

Before filing a legal claim, you agree to contact us at legal@xerotech.io to attempt informal resolution. We will make reasonable efforts to resolve disputes within 30 days.

18.2 Governing Law

These Terms are governed by the laws of England and Wales.

18.3 Jurisdiction

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

18.4 Consumer Rights

If you are a consumer in the EU or UK, you may also have the right to bring proceedings in your country of residence.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding our Services.

19.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect.

19.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

19.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

19.5 Updates to Terms

We may update these Terms from time to time. We will notify you of material changes by posting a notice on our website and, where applicable, sending an email to your registered address. Continued use of our Services after changes constitutes acceptance of the updated Terms.
